By accessing and using SOUNDMIND, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service.

Service Description

SOUNDMIND provides access to a curated library of audio content designed for focus, meditation, and sleep. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time.

User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Intellectual Property Rights

Our Content:

All audio content, text, graphics, logos, and software on SOUNDMIND are owned by or licensed to SOUNDMIND and are protected by copyright, trademark, and other intellectual property laws.

Your License:

We grant you a limited, non-exclusive, non-transferable license to:

• •Create and manage playlists
• •Use the service according to these terms

You May NOT:

• •Download audio files (unless we explicitly provide a download feature)
• •Share your account credentials
• •Reproduce, distribute, or publicly perform our content
• •Remove copyright notices or watermarks
• •Use our content in commercial projects without written permission

Prohibited Conduct

You agree NOT to:

• •Use the service for any illegal purpose
• •Harass, abuse, or harm other users
• •Attempt to hack, reverse engineer, or exploit vulnerabilities
• •Use bots, scripts, or automated tools to access the service
• •Create fake accounts or impersonate others
• •Upload viruses, malware, or harmful code
• •Scrape or harvest user data
• •Interfere with the service's operation
• •Violate any applicable laws or regulations

Violation of these terms may result in immediate account termination without refund.

Subscription and Payment Terms

Free Trial:

• •Credit card required (you won't be charged during trial)
• •Cancel anytime before trial ends to avoid charges

Billing:

• •Subscriptions auto-renew monthly or annually
• •You'll be charged on your renewal date
• •Prices may change with 30 days notice
• •Payment processed by Stripe (we don't store card details)

Cancellation:

• •Cancel anytime in account settings
• •Access continues until end of billing period
• •No partial refunds for unused time

Refunds:

• •30-day money-back guarantee for new subscriptions
• •Request refunds at soundmindaudioapp@gmail.com
• •Refunds processed within 5-10 business days
• •No refunds after 30 days or for repeated cancellations

Disclaimers and Limitations of Liability

SERVICE PROVIDED "AS IS":

SOUNDMIND is provided "as is" without warranties of any kind, either express or implied, including but not limited to:

• •Fitness for a particular purpose
• •Uninterrupted or error-free operation
• •Accuracy or reliability of content

Medical Disclaimer:

SOUNDMIND is not a medical device or treatment. Our audio is designed for relaxation and focus but is not intended to:

• •Diagnose, treat, cure, or prevent any disease
• •Replace professional medical advice
• •Treat sleep disorders, anxiety, or other medical conditions

Consult a healthcare professional for medical concerns.

NO LIABILITY FOR:

• •Lost data or content
• •Service interruptions or downtime
• •Third-party service failures (Stripe, Cloudinary, etc.)
• •Indirect, incidental, or consequential damages

MAXIMUM LIABILITY:

Our total liability to you for any claim is limited to the amount you paid us in the 12 months before the claim (or $100, whichever is greater).

Account Termination

Your Right to Terminate:

You may cancel your account at any time through account settings or by contacting us.

Our Right to Terminate:

We may suspend or terminate your account immediately if you:

• •Violate these Terms of Service
• •Engage in fraudulent activity
• •Abuse the service or other users
• •Fail to pay subscription fees

Upon termination:

• •You lose access to the service immediately
• •Your data may be deleted after 30 days
• •No refunds for remaining subscription time (except as required by law)

Governing Law and Disputes

Jurisdiction:

These Terms are governed by the laws of Ontario, Canada without regard to conflict of law principles.

Dispute Resolution:

Before filing a lawsuit, you agree to try to resolve disputes through:

• •Mediation (if negotiation fails)

Arbitration Clause:

Any disputes not resolved through negotiation or mediation shall be resolved through binding arbitration in Ontario, Canada.

Class Action Waiver:

You agree to resolve disputes individually, not as part of a class action lawsuit.

Time Limit:

Any claim must be filed within 1 year of the event giving rise to the claim.

General

Entire Agreement:

These Terms, along with our Privacy Policy, constitute the entire agreement between you and SOUNDMIND.

Severability:

If any provision is found invalid, the remaining provisions remain in effect.

No Waiver:

Our failure to enforce any right doesn't waive that right.

Assignment:

You may not assign these Terms. We may assign them to a successor company.

Force Majeure:

We're not liable for delays caused by circumstances beyond our control (natural disasters, pandemics, internet outages, etc.).
